Selling Shareholders Price Follow-On Public Offering of Intersil Corporation Securities
14,000,000 Shares of Class A Common Stock Priced at $31.50 per share
IRVINE, Calif., October 31, 2001 Intersil Corporation (NASDAQ: ISIL) today announced that Citicorp Venture Capital Ltd. and Citicorp Mezzanine Partners, L.P. priced a follow-on offering of 14,000,000 shares of Intersil Corporation Class A common stock at $31.50 per share. Intersil will not receive any of the proceeds from the shares of Class A Common Stock sold in this offering. Intersil's stock is listed on the NASDAQ National Market under the symbol "ISIL."
This offering is expected to close on Monday, November 5, 2001. The selling shareholders have granted the underwriters an option, exercisable for 30 days from the closing, to purchase 2,100,000 additional shares of Class A Common Stock from the selling shareholders to cover over-allotments.
Credit Suisse First Boston is the lead book-running manager for the offering and Lehman Brothers, Deutsche Banc Alex. Brown, JP Morgan, Robertson Stephens and SG Cowen are the co-managers of the underwriting syndicate.
