Intersil Corporation Achieves Highest Rating in Corporate Governance
-- Sets Standard for Semiconductor Industry
Milpitas, CA, June 20, 2006 Intersil Corporation (NASDAQ: ISIL), a world leader in the design and manufacture of high performance analog solutions, today announced it outperformed 100.0% of the companies in the S&P 400 Index and 100.0% of the companies in the semiconductors & semiconductor equipment group based on Institutional Shareholder Services most recent Corporate Governance Quotient (CGQ ®) ratings.
"We are extremely pleased with Intersils excellent Corporate Governance Quotient (CGQ ®) rating," said Rich Beyer, Chief Executive Officer. "This superior rating validates our ongoing commitment to maintain excellence in Corporate Governance practices, thus supporting our efforts in building long-term shareholder value. The board is committed to providing shareholders with sound leadership, and our ratings prove that we are exceeding our goals both internally and among our peers.
Provided by Institutional Shareholder Services, a leading provider of proxy voting and corporate governance data services, the Corporate Governance Quotient is a rating tool that assists institutional investors in evaluating the quality of corporate boards and their corporate governance practices. The Corporate Governance Quotient rates 5,600 U.S. companies and 1,800 non-U.S. international companies.
U.S. Ratings are calculated on the basis of eight core categories, including: 1) board of directors, 2) audit, 3) charter and bylaw provisions, 4) state of incorporation, 5) executive and director compensation, 6) progressive practices, 7) ownership, and 8) director education. ISS analyzes 61 data points to derive each issuers rating. In addition, some variables are analyzed in combination with other provisions. For example, a board with a majority of independent directors and all-independent key board panels (audit, nominating and compensation) receives a higher rating for each of these attributes than it would if it had either one of them in isolation. More than 5,600 companies, including the Russell 3000 Index, are scored and are ranked relative to market cap and their industry peer groups.
